Terms of Service
These Terms of Service govern your access to and use of the Zyphera Labs website, customer accounts, purchases, recurring-order services when available, and other services provided through the Site.

1. INTRODUCTION AND ACCEPTANCE OF TERMS
These Terms of Service (“Terms”) govern your access to and use of zypheralabs.us (the “Site”) and any products, customer accounts, purchasing features, recurring-order services, communications, or other services made available by Zyphera Labs (“Zyphera Labs,” “we,” “us,” or “our”).
By accessing the Site, creating an account, placing an order, or otherwise using the Site, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Site or purchase products from Zyphera Labs.
We may establish additional policies or terms applicable to particular products, services, promotions, or features. Those terms are incorporated into these Terms when applicable.
2. RESEARCH USE ONLY
Products offered by Zyphera Labs are sold exclusively for laboratory, analytical, educational, and research purposes. Unless expressly stated otherwise, products are not intended for human or veterinary use, consumption, diagnosis, treatment, prevention, or cure of any disease or medical condition.
Zyphera Labs does not provide medical advice, prescribing services, treatment recommendations, individualized dosing instructions, or recommendations concerning personal use of research compounds.
By purchasing products from Zyphera Labs, you represent that you understand the research-use designation of the products and will use, handle, store, and dispose of them in a manner consistent with applicable laws, regulations, institutional requirements, and appropriate laboratory practices.
Product information and research materials provided through the Site are for informational and research-reference purposes only and should not be interpreted as medical advice or as instructions for personal use.
3. ELIGIBILITY AND AGE REQUIREMENTS
You must be at least 18 years old and legally capable of entering into a binding agreement to create an account or purchase products through the Site.
By using purchasing features of the Site, you represent and warrant that you satisfy these requirements and that your access to and purchase of the products is lawful in your jurisdiction.
We reserve the right to refuse or cancel an order where we reasonably believe an order violates these Terms, applicable law, our payment-provider requirements, or our research-use policies.
4. CUSTOMER ACCOUNTS
Certain features may require or permit you to create a customer account. You agree to provide accurate, current, and complete information and to keep your account information reasonably current.
You are responsible for maintaining the confidentiality of your login credentials and for activity conducted through your account. You agree to notify Zyphera Labs promptly if you believe your account or credentials have been accessed or used without authorization.
We may suspend or terminate accounts that we reasonably believe are being used fraudulently, unlawfully, in violation of these Terms, or in a manner that threatens the security or operation of the Site.
5. PRODUCT INFORMATION
We make reasonable efforts to provide accurate descriptions, quantities, specifications, pricing, images, analytical information, and other product information. However, product packaging, appearance, labeling, specifications, availability, and other details may change from time to time.
Certificates of Analysis (“COAs”), analytical results, or similar documentation relate to the particular batch or sample identified in the applicable documentation and should not be interpreted as guaranteeing results for any other batch or sample.
Information concerning scientific literature, research interests, mechanisms, pathways, or compounds is provided for research-reference purposes and does not constitute a representation concerning suitability for any personal, clinical, therapeutic, or diagnostic use.
6. ORDERS AND ORDER ACCEPTANCE
Submission of an order constitutes an offer to purchase the products identified in the order. Receipt of an order confirmation does not necessarily constitute final acceptance of the order.
Zyphera Labs reserves the right, to the extent permitted by law, to accept, reject, limit, hold, or cancel an order for reasons including product availability, suspected fraud, payment issues, pricing or listing errors, compliance concerns, shipping restrictions, or suspected violation of these Terms.
If we cancel an order after payment has been successfully collected, we will issue an appropriate refund for the canceled portion of the order.
You are responsible for providing accurate billing, shipping, contact, and other order information.
7. PRICING AND PAYMENT
Prices displayed on the Site are stated in U.S. dollars unless otherwise indicated and may change without notice. Applicable shipping charges, taxes, fees, or other charges will be disclosed during checkout where required.
Payments may be processed by third-party payment service providers. By submitting payment information, you represent that you are authorized to use the payment method provided and authorize the applicable charges associated with your order.
Zyphera Labs does not intend to directly store complete payment-card numbers or card security codes on its own systems. Payment information may instead be securely processed, stored, or tokenized by our payment service providers.
We reserve the right to correct pricing or listing errors and, where necessary, cancel affected orders and issue refunds.
8. RECURRING ORDERS AND SUBSCRIPTIONS
Zyphera Labs may offer recurring-order or subscription purchasing options for certain products or services. If you enroll in a recurring service, the applicable price, billing frequency, renewal terms, and cancellation terms will be disclosed before enrollment.
By enrolling, you authorize our payment service provider to charge your selected payment method according to the terms presented at enrollment until you cancel or the recurring service is otherwise terminated.
You are responsible for maintaining accurate payment, billing, shipping, and account information associated with recurring orders.
You may cancel a recurring service using the cancellation method made available through your account or otherwise specified at enrollment. Cancellation will apply to future recurring charges and does not necessarily cancel an order that has already been processed or shipped.
9. SHIPPING AND DELIVERY
Orders will be shipped to the address provided during checkout. You are responsible for providing a complete and accurate delivery address.
Shipping estimates are provided for convenience and are not guaranteed. Delivery times may be affected by carriers, weather, holidays, supply conditions, incorrect addresses, or circumstances outside Zyphera Labs’ reasonable control.
Shipping charges and available delivery methods will be displayed during checkout where applicable.
Any restrictions concerning destinations to which particular products may be shipped will apply regardless of whether the Site technically permits an order to be submitted.
10. RETURNS, REFUNDS, AND CANCELLATIONS
Returns, refunds, replacements, and order cancellations are governed by the Zyphera Labs Return and Refund Policy in effect at the time of purchase.
Because certain research products may be sensitive to storage, handling, contamination, tampering, or chain-of-custody conditions, some products may not be eligible for return after shipment except where required by law or where Zyphera Labs determines that a replacement or refund is appropriate.
Customers should inspect shipments promptly upon delivery and contact Zyphera Labs within the period specified in the applicable Return and Refund Policy if an order arrives damaged, incorrect, incomplete, or otherwise materially inconsistent with the order.
Nothing in these Terms limits any non-waivable rights or remedies available under applicable law.
11. CHARGEBACKS AND PAYMENT DISPUTES
If you believe a charge is incorrect or there is a problem with an order, please contact Zyphera Labs so that we have an opportunity to investigate and resolve the issue.
You agree not to knowingly initiate a fraudulent, deceptive, or materially inaccurate payment dispute or chargeback.
Zyphera Labs may provide relevant transaction, shipping, delivery, account, and communication records to payment processors, financial institutions, or other parties involved in resolving a payment dispute.
Nothing in this section prevents you from exercising legitimate rights available through your card issuer, financial institution, payment provider, or applicable law.
12. PRODUCT AVAILABILITY
Product availability may change without notice. Zyphera Labs does not guarantee that any particular product, quantity, concentration, or configuration will remain available.
We may limit quantities, discontinue products, modify product offerings, or decline or cancel an order when reasonably necessary, including because of inventory limitations, pricing or listing errors, suspected fraud, regulatory considerations, shipping restrictions, or other operational reasons.
If we cancel an order after payment has been collected, the applicable amount will be refunded.
13. PROHIBITED USES
You may not use the Site or products purchased through the Site for any unlawful purpose or in any manner inconsistent with these Terms.
Prohibited activities include fraudulent transactions; misuse of payment systems; interference with Site security or operation; unauthorized access to accounts, systems, or data; submission of false or misleading information; resale or distribution in violation of applicable law; and use of products contrary to their stated research-use designation.
Zyphera Labs may refuse service, restrict account access, cancel orders, or take other reasonable action when we believe these Terms, applicable law, or the integrity or security of the Site may have been violated.
14. INTELLECTUAL PROPERTY
The Site and its content, including the Zyphera Labs name, logos, branding, graphics, photographs, product presentation, text, page designs, and other materials created by or for Zyphera Labs, are owned by Zyphera Labs or used with permission and may be protected by intellectual-property laws.
Except as permitted by applicable law, you may not copy, reproduce, distribute, modify, publish, commercially exploit, or create derivative works from protected Site content without appropriate authorization.
Nothing in these Terms grants you ownership of Zyphera Labs intellectual property or the intellectual property of third parties appearing on the Site.
15. THIRD-PARTY SERVICES AND LINKS
The Site may rely on or provide access to services operated by third parties, including payment processors, shipping carriers, analytics providers, communications providers, and other technology or business-service providers.
The Site may also contain links to third-party websites or resources. Zyphera Labs does not control those third parties and is not responsible for their independent content, availability, privacy practices, security practices, or terms.
Your interactions with third-party services may be governed by separate terms and policies established by those providers.
16. DISCLAIMER OF WARRANTIES
To the fullest extent permitted by applicable law, the Site, its content, and products and services made available through the Site are provided on an “as is” and “as available” basis.
Zyphera Labs does not warrant that the Site will be uninterrupted, error-free, or free from harmful components, or that information appearing on the Site will always be complete, current, or error-free.
Product information and research-related content are provided for general informational and research purposes and are not medical or professional advice.
17. LIMITATION OF LIABILITY
To the fullest extent permitted by applicable law, Zyphera Labs and its owners, officers, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of the Site, products purchased through the Site, or these Terms.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.
18. INDEMNIFICATION
To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Zyphera Labs and its owners, officers, employees, contractors, and affiliates from claims, liabilities, damages, losses, and reasonable costs arising from your unlawful use of the Site, violation of these Terms, violation of applicable law, or misuse of products purchased through the Site.
19. GOVERNING LAW
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, except where applicable law requires otherwise.
20. DISPUTE RESOLUTION
Before initiating formal legal proceedings, you and Zyphera Labs agree to make a reasonable good-faith effort to resolve disputes arising from these Terms or use of the Site through direct communication.
If a dispute cannot be resolved informally, it may be pursued in a court of competent jurisdiction as permitted by applicable law.
Nothing in this section prevents either party from seeking appropriate emergency or injunctive relief where legally available.
21. CHANGES TO THESE TERMS
Zyphera Labs may update these Terms periodically to reflect changes to our services, products, business practices, or legal requirements.
When these Terms are revised, the “Last Updated” date at the top of this page will be updated. Your continued use of the Site after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.
22. SEVERABILITY
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.
23. ENTIRE AGREEMENT
These Terms, together with any policies or additional terms expressly incorporated by reference, constitute the agreement between you and Zyphera Labs concerning your use of the Site and services covered by these Terms.
